Rules of Engagement
- The committee will consist of no more than 10 Active Members (inclusive of the Committee Chairperson) and 2 Guest Members, as well as a NAMM Facilitator.
- The committee will talk monthly via conference call, unless a face-to-face meeting has been scheduled.
- The committee will meet four times per year (Winter NAMM, Summer NAMM, and two additional meetings) for face-to-face meetings.
- NAMM will pay expenses for lodging and food for committee members at the face-to-face meetings.
- Committee Member organization/employer will pay for travel to the face-to-face meeting.
- Members are invited to the committee for a period of one year.
- The committee membership will be from NAMM Member Companies and include representatives from the breadth of NAMM Membership; however, the seat is not held by the NAMM Member Company, but by the appointed individual.
- The Committee Chairperson and the NAMM Facilitator will make proposals for the makeup of the committee. The proposal will be discussed at the Winter NAMM Show, to be approved by the current committee via proxy ballot in February. A member’s term will extend from March 1 to February 28 of the following year.
- Committee members may continue participation so long as they remain active, and their membership is confirmed each year by vote.
- The NAMM Facilitator shall abstain from voting unless a tie vote occurs.
- NAMM will notify all current members of the new committee membership after the vote.
- In the event of a Member resigning from the committee mid-term, a replacement can be appointed at the discretion of the NAMM Facilitator and the Committee Chairperson. The Replacement Member’s term will be limited to the remainder of the Original Member’s term, but will be up for re-appointment at the next vote.
- A chairperson is elected by the committee every year by majority vote. The nominees would be accepted for discussion at the Winter NAMM Show, and voting will occur via proxy ballot in February. The Committee Chairperson’s term will be from March 1 to February 28 of the following year.
- Guest Members may be invited for a period of three months at the discretion of the NAMM Facilitator and the Committee Chairperson to contribute on specific topics of discussion, to be evaluated in consideration of permanent membership, or for other purpose as deemed necessary by the Committee Chairperson and/or NAMM Facilitator.
Committee Expectations
- The NAMM Facilitator and the Committee Chairperson shall collaborate to set the agenda for the monthly conference calls and the face-to-face meetings, and lead the discussion to keep the Committee on the Agenda.
- The NAMM Facilitator and the Committee Chairperson may appoint Guest Members as deemed necessary.
- The NAMM Facilitator and the Committee Chairperson shall collaborate to appoint Replacement Members as needed.
- The NAMM Facilitator and the Committee Chairperson shall collaborate to propose the following term’s Committee Membership at the Winter NAMM Show.
- The NAMM Facilitator will distribute proxy votes after the Winter NAMM Show and collect the results for tabulation.
- The NAMM Facilitator will notify all Committee Members of the results of the proxy vote by the end of February each year.
- Active Members shall participate in the annual vote for Committee Chairperson and Committee Membership.
- Active members shall actively promote the implementation of mission of the Committee within their company and their trading partners.
- All Members shall participate in the monthly phone calls, and attend and participate in the face-to-face meetings.
- All Members shall participate in and complete assignments as distributed during monthly phone calls, face-to-face meetings, or as assigned by the Committee Chairperson.
- Replacement Members shall fulfill all of the expectations of an Active Member for the extent of his/her term.
- Guest Members shall attend and participate in all meetings and assignments as an Active Member, but shall not participate in any votes concerning Committee Chairperson, Committee Membership, or Committee Rules and Expectations.
